Die Lieferungen und Angebote der Airnergy International GmbH erfolgen ausschließlich auf der Grundlage der nachfolgenden Allgemeinen Geschäftsbedingungen (AGB). Durch den Hinweis auf die AGB ohne einen Widerspruch des Bestellers erkennt dieser die AGB an. Hinweisen des Bestellers auf seine Geschäftsbedingungen wird hiermit widersprochen. Es gelten die zum Zeitpunkt des Vertragsschlusses durch die Airnergy International GmbH bereitgehaltenen Bedingungen. Diese sind u.a. über die Internetseite der Airnergy International GmbH einseh- und ausdruckbar.

Der Besteller bietet mit Übersendung/Übermittlung des unterzeichneten Formulars der Airnergy International GmbH den Abschluss eines Kauf-/Werklieferungsvertrages an. Er ist an seinen Antrag vier Wochen gebunden.

Der Vertrag ist geschlossen, wenn die Airnergy International GmbH die Annahme der Bestellung der näher bezeichneten Kaufgegenstände innerhalb dieser Frist schriftlich bestätigt hat oder die Lieferung ausgeführt ist. Die Airnergy International GmbH ist jedoch verpflichtet, den Besteller unverzüglich zu unterrichten, wenn die Bestellung nicht angenommen wird. Die Angaben zu Waren und Preisen unterliegen u.a. der Anpassung durch technische Veränderungen der angebotenen Produkte.

Soweit keine abweichende Vereinbarung getroffen wurde, gelten die Preise ab Werk, die gesetzliche Mehrwertsteuer ist nicht in den Preisen eingeschlossen, sie wird in gesetzliche Höhe am Tag der Rechnungsaustellung in der Rechnung gesondert ausgewiesen. Kostenvoranschläge für Reparaturaufwendungen sind grundsätzlich kostenpflichtig.

4.1

Die Zahlung erfolgt grundsätzlich per Vorab-Überweisung auf das Konto der Airnergy International GmbH. Auf Wunsch des Bestellers erfolgt eine Lieferung per Nachnahme. Die entstehenden Kosten hat der Besteller zu tragen. Der Airnergy International GmbH steht die Wahl des Lieferunternehmens frei. Die Airnergy International GmbH kann nach eigener Entscheidung auch gegen Rechnung liefern.

4.2

Rechnungen sind sofort ohne Abzug zur Zahlung fällig.

4.3

Zahlungen sind unmittelbar an die Airnergy International GmbH zu leisten. Zur Entgegennahme von Zahlungen sind Mitarbeiter der Airnergy International GmbH nur mit schriftlicher Inkasso-Vollmacht ermächtigt.

4.4

Bei Zahlungsverzug ist die Airnergy International GmbH unbeschadet der Geltendmachung weiteren Verzugsschadens berechtigt, Verzugszinsen in Höhe von 5% über dem jeweiligen Diskontsatz der Deutschen Bundesbank zu verlangen. Der Besteller kann der Airnergy International GmbH nachweisen, dass als Folge des Zahlungsverzuges kein oder ein wesentlich geringerer Schaden entstanden ist.

4.5

Der Besteller ist zur Aufrechnung nur mit unbestrittenen oder rechtskräftig festgestellten Gegenforderungen berechtigt. Ist der Besteller Kaufmann, ist er zur Ausübung eines Zurückbehaltungsrechts nur befugt, soweit die Gegenforderung unbestritten oder rechtskräftig festgestellt ist.

5.1

Die Airnergy International GmbH ist bemüht, die genannten Liefertermine einzuhalten. Angegebene Lieferzeiten sind jedoch stets nur annähernd und unverbindlich. Teillieferungen sind zulässig.

5.2

Die Einhaltung der Lieferverpflichtung der Airnergy International GmbH setzt die rechtzeitige und ordnungsgemäße Erfüllung der Mitwirkungspflicht des Bestellers voraus. Kommt der Besteller in Abnahmeverzug oder verletzt die Mitwirkungspflicht, ist die Airnergy International GmbH berechtigt, den Ersatz des Schadens einschließlich etwaiger Mehraufwendungen zu verlangen. Kommt der Besteller seiner Abnahmeverpflichtung auch nach nochmaliger schriftlicher Aufforderung mit einer Nachfristsetzung von 14 Tagen nicht nach, ist die Airnergy International GmbH berechtigt, vom Vertrag zurückzutreten oder Schadensersatz zu verlangen.

Verlangt die Airnergy International GmbH Schadensersatz, so beträgt dieser pauschal 20% des vereinbarten Kaufpreises. Der Schadensersatz ist höher oder niedriger anzusetzen, wenn die Airnergy International GmbH einen höheren oder der Besteller einen geringeren Schaden nachweist.

6.1

Leistungsort ist, soweit nichts Abweichendes vereinbart wurde, das Auslieferungslager der Airnergy International GmbH in Hennef.

6.2

Versand erfolgt auf Kosten und Gefahr des Bestellers. Eine Versicherung der Ware gegen Transportschäden erfolgt auf Kosten des Bestellers.

6.3

Im Falle einer Beanstandung der Ware hat der Besteller die Kosten für den Rücktransport der Ware an den Leistungsort und den Versand an ihn selbst nach Reparatur/Austausch zu tragen. Diese Regelung gilt nur für gewerbliche Besteller. Sie gilt weiterhin auch für Besteller mit Lieferanschrift außerhalb der Bundesrepublik Deutschland. Der Besteller hat den Transport an den Leistungsort in einem solchen Falle zu veranlassen.

6.4

Beanstandet der Besteller die Ware und es wird festgestellt, dass kein Mangel vorliegt, für den die Airnergy International GmbH aus Sachmängelhaftung oder Garantie einstandspflichtig ist, so trägt der Besteller in jedem Falle die Kosten für den Transport. Eine Rücksendung an den Besteller erfolgt ebenfalls erst nach Kostenerstattung.

7.1

Der Besteller ist verpflichtet, die Ware unverzüglich auf Transportschäden, Falschlieferung und Mängelabweichungen zu untersuchen. Transportschäden sind gegenüber dem Beförderer geltend zu machen. Soweit die Airnergy International GmbH sich zur Übernahme der Transportgefahr bereit erklärt hat, sind Ansprüche des Kunden wegen Transportschäden ausgeschlossen, falls dieser es unterlässt, die Schäden dem Transportunternehmer anzuzeigen und die Airnergy International GmbH sofort zu verständigen.

Offensichtliche Mängel hat der Kunde der Airnergy International GmbH innerhalb von 2 Wochen nach Empfang der Ware schriftlich anzuzeigen. Ist der Kunde Kaufmann, gilt die Regelung der §§ 377, 378 HGB.

7.2

Soweit ein Sachmangel i.S.d. § 434 BGB vorliegt, ist die Airnergy International GmbH berechtigt, nach eigener Entscheidung nachzubessern oder Ersatz zu liefern. Diese Regelung gilt nicht, wenn es sich bei der Bestellung um einen Verbrauchsgüterkauf i.S.d. §§ 474 ff. BGB handelt. Schlägt auch der zweite Versuch der Nachbesserung oder Ersatzlieferung fehl, ist der Besteller berechtigt, vom Vertrag zurückzutreten oder den Kaufpreis zu mindern.

7.3

Gewährleistungsansprüche bestehen insbesondere nicht, wenn

a)  der Mangel darauf beruht, dass der Besteller an dem Kaufgegenstand Änderungen oder Erweiterungen vorgenommen oder diesen mit weder von der Airnergy International GmbH genehmigten noch von ihr gelieferten Ersatzteilen versehen hat.

b)  der Mangel auf eine unsachgemäße Benutzung, Bedienung, mangelnde Pflege oder Wartung oder auf gewaltsame Einwirkungen zurückzuführen ist.

c)  der Mangel auf Verschleiß beruht.

7.4

Zur Nachbesserung bzw. Ersatzlieferung ist die Airnergy International GmbH nur verpflichtet, wenn der Besteller seinerseits das dem Wert der mangelhaften Leistung entsprechende Entgelt gezahlt hat.

7.5

Sachmängelhaftungsansprüche des Bestellers stehen nur diesem zu und sind nicht abtretbar. Weitergehende als die gesetzlichen Ansprüche des Bestellers sind ausgeschlossen.

7.6.1

Der Anspruch des Bestellers auf Schadensersatz wegen einer Pflichtverletzung der Airnergy International GmbH, deren gesetzlicher Vertreter oder Erfüllungsgehilfen, insbesondere für Schäden, die nicht am Liefergegenstand selbst entstanden sind, für entgangenen Gewinn oder sonstige Vermögensschäden ist ausgeschlossen.

7.6.2

Diese Haftungsbegrenzung gilt nicht bei der vorsätzlichen oder fahrlässigen Verletzung einer vertraglichen Hauptpflicht durch die Airnergy International GmbH, deren gesetzliche Vertreter oder Erfüllungsgehilfen. Im Falle einer leicht fahrlässigen Verletzung einer vertraglichen Hauptpflicht haftet die Airnergy International GmbH höchstens bis zum typischerweise vorhersehbaren Schaden, der in der Regel den Kaufpreis der bestellten Ware nicht überschreitet. Die Haftung ist auf Schäden an der bestellten Ware beschränkt.

7.6.3

Die Haftungsbegrenzung gilt in Bezug auf Nebenpflichten ebenfalls nicht im Falle einer vorsätzlichen oder grob fahrlässigen Pflichtverletzung der Airnergy International GmbH, deren gesetzlicher Vertreter oder Erfüllungsgehilfen.

7.6.4

Eine Haftung ist gleichfalls nicht ausgeschlossen, soweit es sich um einen Schaden aus der Verletzung des Lebens, des Körpers oder der Gesundheit handelt.

7.6.5

Die Haftungsbeschränkung gilt ferner dann nicht, wenn der Besteller wegen des Fehlens einer zugesicherten Eigenschaft Schadensersatzansprüche wegen Nichterfüllung gemäß §§ 463, 480 Abs. 2 BGB geltend macht.

7.6.6

Die Regelungen der 7.6.3. und 7.6.4. gelten nicht, so weit des sich bei dem Besteller um einen gewerblichen Kunden handelt.

7.7

Die Verjährungsfrist für Ansprüche aus Sachmängelhaftung beträgt im Falle eines Verbrauchsgüterkaufs nach §§ 474 ff. BGB 2 Jahre, im Übrigen 1 Jahr, gerechnet ab dem Zeitpunkt des Gefahrüberganges. Diese Frist gilt auch für die Ansprüche auf Ersatz von Mängelfolgeschäden, soweit keine Ansprüche aus unerlaubter Handlung geltend gemacht werden.

8.1

Die Airnergy International GmbH behält sich das Eigentum an den gelieferten Waren bis zur vollständigen Zahlung aller der Airnergy International GmbH gegen den Besteller zustehenden und, wenn der Kunde Kaufmann ist, darüber hinaus aus der Geschäftsverbindung mit ihm zustehenden Forderungen, gleich aus welchem Rechtsgrund, vor.

8.2

Bei vertragswidrigem Verhalten des Bestellers, insbesondere bei Zahlungsverzug, ist die Airnergy International GmbH berechtigt, Herausgabe der Verkaufsache zu verlangen. In der Zurücknahme liegt kein Rücktritt vom Vertrag, es sei denn, die Airnergy International GmbH erklärt dies ausdrücklich schriftlich.

8.3

Der Kunde ist berechtigt, die unter Vorbehalt gelieferten Waren im Rahmen seines Geschäftsbetriebs weiter zu veräußern. Die sich aus der Weiterveräußerung der Ware oder einem sonstigen Rechtsgrund ergebenen Ansprüche tritt er im voraus in Höhe der der Airnergy International GmbH gegen ihn zustehenden Forderungen an die Airnergy International GmbH ab.

8.4

Der Besteller ist verpflichtet, die unter Eigentumsvorbehalt gelieferte Ware pfleglich zu behandeln und bis zur Eigentumsübertragung gegen Untergang und Verlust auf seine Kosten zu versichern.

Der Käufer ist damit einverstanden, daß persönliche Daten seiner Bestellung elektronisch gespeichert und für die Zwecke der Geschäftsbeziehung entsprechend den gesetzlichen Vorschriften verarbeitet werden.

Für alle Vertragsbeziehungen gilt deutsches Recht unter Ausschluß des UN-Kaufrechts.

Erfüllungsort für alle Ansprüche aus dem Vertragsverhältnis ist Hennef. Als Gerichtsstand für alle Streitigkeiten wird Siegburg vereinbart, sofern der Besteller Kaufmann ist.

11.1

Nebenabreden und Änderungen dieses Vertrages sind nur rechtswirksam, wenn sie von der Airnergy International GmbH schriftlich bestätigt werden.

11.2

Sollte eine Regelung oder ein Teil einer Regelung dieser Allgemeinen Geschäftsbedingungen oder eines hierauf verweisenden Vertrages unwirksam sein, so berührt dies nicht die Wirksamkeit der übrigen Regelungen. Die Parteien verpflichten sich in einem derartigen Fall, eine neue Vereinbarung zu treffen, die dem wirtschaftlichen Zweck der ungültigen Regelung möglichst nahe kommt und die sie vereinbart hätten, wenn sie deren Unwirksamkeit gekannt hätten.

27.02.2024 – According to classical physics, all matter consists of countless atoms. Atoms have a nucleus orbited by electrons, similar to satellites orbiting the Earth in space. When atoms lose one of their electrons, they become highly reactive and unstable, leading them to steal electrons from other adjacent molecules to regain stability. These atoms, molecules, or ions with unpaired electrons are known as free radicals. The most common free radicals include Reactive Oxygen Species (ROS), such as superoxide (O2-), hydroxyl radical (OH.), and singlet oxygen.

When free radicals are mentioned, people often associate them with being extremely dangerous and harmful to health, based on scientific evidence and public education. However, the truth diverges from this perception. Without free radicals, life would not be possible due to their role in energy transfer. As energy can only be transferred, not created or destroyed according to the first law of thermodynamics, it is essential for all living beings. Thus, free radicals play a crucial role in energy transfer, enabling essential processes for human existence. Furthermore, they are integral to generating an immune response and defending against bacterial or viral invasion. Therefore, it is necessary to reevaluate the perception of free radicals and recognize their importance in sustaining life. To delve into this topic, let’s explore the role of oxygen, an indispensable molecule for human survival, as an example.

FROM PLANTS TO HUMAN: HOW ENERGY IS TRANSFERRED?

All life on Earth relies on the essential energy of sunlight in the form of photons. Plants, as the primary living organisms capable of capturing light energy, use it to split water (H2O) and react with carbon dioxide (CO2) through photosynthesis. This process produces oxygen, which is then released into the atmosphere, serving as a vital energy source for living organisms such as humans. We acquire this essential energy through the act of breathing oxygen. Additionally, as plants have already assimilated solar energy, another means of obtaining this energy is by consuming plants directly or indirectly through animals that have consumed them.

Therefore, there are two essential ways to keep us alive: breathing in oxygen and consuming plants directly or indirectly. While it is possible to survive for weeks or even months without food, the inability to breathe would lead to death within minutes. This raises the question: why is breathing so critical? That’s a thought-provoking question. However, I’ll hold off on answering it right away. Instead, I propose delving into the conventional understanding of energy generation as per established medical science. Meanwhile, I’ll raise questions that challenge this conventional understanding. In the end, I’ll reveal why breathing is indispensable for sustaining life.

While plants derive energy from sunlight through photosynthesis, we undergo cellular respiration, a process precisely opposite to photosynthesis. The carbon dioxide released by human beings during cellular respiration becomes the food for plants. This reciprocal exchange between plants and us is precisely according to the laws of thermodynamics. In this exchange, cellular respiration enables the transfer of energy from oxygen, converting it into essential electrical or chemical energies necessary for life. However, within the context of medical science and biology, cellular respiration is primarily concerned with the production of adenosine triphosphate (ATP) through metabolic pathways utilizing glucose. In other words, ATP is recognized as the sole energy currency for human bodies. This established understanding is what I aim to question based on the following reasons:

  1. The process of glucose breakdown to generate adenosine triphosphate (ATP) is called glycolysis (sugar split). The perquisite of this process is not oxygen, but sugar that comes from the food we eat. As such, it can also happen without the presence of oxygen, which is called anaerobic respiration. This is commonly known as fermentation like the cellular metabolism of cancer cells. From this point of view, ATP generation through glycolysis can’t be qualified as the prerequisite electron transfer to power human life. Therefore, we can live without eating for extended periods even up to months or years. For similar reasons, many animals can undergo hibernation throughout the entire winter without consuming any food.
  2. The human body is incredibly complex, requiring lightning-speed electrical transfer to maintain all mental and physical activities. However, the chemical reaction involved in ATP production through glycolysis operates at an extremely slow speed, just a few meters per second. This sluggish pace cannot deliver the rapid energy required for life. It is well-known in medicine that ATP alone cannot supply the energy needed to power active muscles. So, there must be another way to power the body than ATP.

The above simple questions have demonstrated the fallacies in our conventional understanding on what are the true energies that keep us alive. This directs our attention to the essence of breathing. Oxygen, as the end product of photosynthesis, carries the vital life force from the Sun. Life fundamentally revolves around the solar energy captured in photons, comprising both electric and magnetic forces. Hence, ancient practices primarily focus on breathing to unlock these essential forces for mental and physical growth. This elucidates and answers the question of why we cannot survive without breathing for even a few minutes.

FREE RADICALS: THE UNTOLD STORY OF REACTIVE OXYGEN SPECIES (ROS)

In humans, reactive oxygen species (ROS) production occurs in every cell and across different cell compartments, including the cell membranes, cytoplasm, nucleus, and mostly, within the mitochondria. Mitochondria, known as the powerhouse of the cell, serve as pivotal sites for ROS generation through energetic formation. Additionally, reactive formation takes place at cell membranes, while metabolic processes within cells also contribute to ROS production. This demonstrates the inherent connection between energy transfer and the production of free radicals. This correlation is further substantiated by the Nobel Prize-winning revelation that oxygen-sensing mechanisms are present in every cell.

Within the mitochondria, energy transfer from electrons occurs through two pathways. One is a high-flux circuit, which leads to the production of ATP (the pathway that is accepted in medicine as the required cellular energy). However, there exists another lesser-known low-flux circuit, which is the main focus of this discussion. This pathway has contributed to the production of free radicals like Reactive Oxygen Species (ROS). Without delving into intricate details, I aim to summarize the key vital roles of ROS through this low-flux circuit:

  1. Essential for energy transfer and biological regulation
    Oxygen molecules must release electrons sequentially to facilitate energy transfer. As these released electrons accelerate to break free from their orbit around the oxygen molecule, the energy they carry can be transferred through either emitting light or coupling electrons from other substances to become stable again. Through this process of energy transfer, ROS serves as a regulator for cellular and metabolic activities.

    Russian biologist Alexander Gurwitsch was the first to discover the regulatory effect of light on biological activities in 1923. This biological nature of light is also reflected by Albert Einstein’s equation (E = mc2) that light is energy and energy is light. Not only that, scientists have just learned that light is also required for ATP synthesis in mitochondria. This is not so hard to understand as chloroplasts and mitochondria both evolved from primitive bacterial cells capable of harnessing light energy.

  2. Essential for immune response
    As free radicals are highly unstable and reactive, the human body has equipped with various antioxidant mechanisms, including enzymes like Superoxide Dismutase (SOD) and catalase. These enzymes act as energy transfer enablers and protective barriers at the same time. On one hand, their existence allows the neutralizing of different free radicals or their byproducts to safeguard cellular integrity. On the other hand, they can protect the cells from being attacked by these reactive free radicals. Because of this nature, their levels in the bodies are directly associated with the anti-oxidant capacity and immune responses. This is the reason why physical exercise can help us to build better resilience against illnesses. The essence of physical exercise lies in stimulating the generation of more free radicals, prompting the body to produce additional antioxidant enzymes and fortify the immune system.

    Conversely, individuals with HIV experience diminished immune responses due to a deficiency in antioxidant enzymes. Hence, the growing inclination towards antioxidant supplements is driven by the desire to bolster immunity. However, this approach presents two potential risks. Firstly, free radicals serve as triggers for various physiological functions and regulations. We can’t just simply suppress them because of potential damages. Further, the presence of antioxidants must be in the right place, right time, and in precise quantity; otherwise, they not only can’t be of help but also can cause undesired adverse effects. Secondly, antioxidants themselves possess reactive properties and can potentially induce health damage, as evidenced by numerous studies.

    Indeed, the largest supplement study in the world showed a heightened cancer incidence among individuals in the supplement group compared to the control group. Moreover, more studies are reaffirming the potential risks associated with supplement use. These findings further underscore the importance of reactive oxygen species (ROS) for human health, emphasizing that we cannot solely focus on their negative impacts.

  3. Essential for defense against harmful pathogens:
    Throughout our lives, our bodies encounter various bacteria and viruses, which require adequate defense mechanisms for protection and fighting off invasions. There are two primary defense mechanisms in human bodies. One is the production of Hydrogen Peroxide (H2O2) and the other is the production of Hypochlorous Acid (HCIO). Hydrogen Peroxide, generated from superoxide with the help of the antioxidant enzyme Superoxide Dismutase (SOD), acts as a surveillance system to detect the presence of harmful bacteria. Once it senses such harmful substances, it will rapidly be converted into Hypochlorous Acid, which is extremely high reactive free radicals and it will kill those bacteria and viruses.

    The reason this is possible is that those invasive bacteria and viruses don’t have antioxidant enzymes to protect them against free radicals. Thus, free radicals play a crucial role in our body’s defense against deadly pathogens.

THE FINAL DESTINATION OF ROS: OXYGEN TURN INTO WATER

Throughout scientific research and public education, significant emphasis has been placed on promoting the health benefits of oxygen, antioxidants, minerals, proteins, and other essential components for healthy living. However, I believe this represents one of the major misperceptions in our understanding of life. Philosophically, water is often described as the “mother of life.” Surprisingly, though, in scientific disciplines such as medicine and biology, water is the most neglected molecule.

In recent times, the scientific community has begun to recognize the crucial importance of water for our health. Water is the true source of pure green energy and serves as the reservoir of energy within our bodies. While oxygen is vital for energy transfer, its energy remains dormant and stable. We can compare oxygen to wood, which is essential for starting a fire. However, without a match to ignite it, wood cannot burn on its own. Similarly, oxygen converts into Reactive Oxygen Species (ROS), just like igniting a fire, and ROS serves as the burning wood. Without ROS, we lack the energy required to vitalize our cells. Yet, like burning wood causing damage with smoke and ashes, ROS can harm our cells through inflammation or oxidation.

Remarkably, human biology is ingeniously designed to neutralize ROS for self-protection or stimulate ROS formation for immune defense against foreign substances. ROS is generated to fulfill a cascade of physiological requirements in cellular respiration, encompassing energy transfer, cellular regulation, and immune responses. However, the ultimate destination of ROS is its conversion into the water, as expressed by the equation of cellular respiration: Sugar(C6H12O6) + Oxygen (6O2) → Water (6H2O) + carbon dioxide (6CO2).

Contrary to common belief, it is not ATP but water that our bodies cannot live without, as it embodies pure green energy. Oxygen resembles fossil fuel in nature, requiring combustion. ATP merely serves as a surrogate for an essential life force, supplying energy for local needs. Water, constituting 99% of our bodies in terms of molecular numbers, is the true reservoir of pure green energy.

To elucidate further, let’s use a baseball game analogy to illustrate water’s role in cellular respiration. So, envision water in cellular respiration as the equivalent of hitting a “home run” or scoring in baseball games. ROS or free radicals serve as the runners or players in the field striving to reach home base. If there are no or very few players capable of returning to home base, the team must continually dispatch more players to run, resulting in an increase in ROS or free radicals in the bodies. The only way to render those runners in the field is by making them back to home base. With effective coordination among team members, all players or runners possess the potential to score. If the team lacks coordination, the runners occupying the field become obstacles for others and must be removed. This mirrors precisely how cellular respiration operates. Conversely, in our bodies, the final destination of free radicals is to transform into water, the “home run” of cellular respiration.
